Effective 20 August 2026 · AROBOTIX Corp. · Delaware C-Corp

This document is not an offer to sell or a solicitation of an offer to buy any security.

The AROBOTIX business plan is provided for information and discussion only. Any offering of securities by AROBOTIX Corp. would be made solely to eligible investors through definitive transaction documents, and any decision to invest should be made only on the basis of those documents and the recipient's own independent investigation.

Confidentiality

The business plan and all materials reached from it are confidential and proprietary to AROBOTIX Corp. Access is granted to named recipients only. The materials may not be copied, forwarded, reproduced, published, or disclosed to any third party, in whole or in part, without the prior written consent of the company. Where a recipient has signed a non-disclosure agreement with AROBOTIX Corp., that agreement governs and this notice supplements it.

If you have received access to these materials in error, please notify han@arobotix.com and delete all copies in your possession.

Forward-looking statements

The business plan contains forward-looking statements, including statements about product roadmap, pilot outcomes, market opportunity, commercial pricing, expansion sequencing, headcount, and financial performance. Words such as expects, targets, plans, intends, projects, and similar expressions identify some but not all of these statements.

Forward-looking statements are based on assumptions and expectations that are current as of the date shown and are subject to significant business, technical, commercial, regulatory, and economic risks. Actual results may differ materially. AROBOTIX Corp. undertakes no obligation to update any forward-looking statement, whether as a result of new information, future events, or otherwise.

Illustrative financial information

Financial figures in the business plan, including revenue trajectory, gross margin, breakeven timing, total capital to profitability, revenue per site, contract values, and any scenario or exit analysis, are illustrative planning assumptions. They are not audited, not reviewed by an independent accountant, not forecasts, not projections of assured results, and not guarantees of any kind.

Bottoms-up market scenarios presented in the plan describe hypothetical outcomes at stated deployment volumes. They are arithmetic illustrations of the pricing structure, not predictions of adoption. No representation is made that any scenario will be achieved.

Third-party data

The business plan cites industry research and statistics from third parties, including McKinsey and Company, the Construction Industry Institute, FMI and Autodesk, Arcadis, Grand View Research, Associated Builders and Contractors, and public regulatory sources. AROBOTIX Corp. has not independently verified this information and makes no representation as to its accuracy or completeness. Figures are presented as industry context. They are not commitments as to results obtainable on any specific project.

Product and development status

Statements describing platform capability refer to the release identified in the plan at the date shown. Features described as planned, roadmap, exploratory, or funded by a future financing round are not available today, and no assurance is given that they will be developed, released, or perform as described. Hardware concepts referenced in the plan are reference specifications and exploratory roadmap items, not shipping products.

Pilot and partner references

Pilot arrangements described in the plan are governed by a non-binding memorandum of understanding. A memorandum of understanding does not create enforceable commercial obligations, does not guarantee deployment, does not guarantee conversion to a paid contract, and may be terminated by either party in accordance with its terms.

Where a partner, customer, or pipeline participant is described but not named, the omission reflects contractual confidentiality obligations. Naming, quotation, and logo use require separate written approval from the party concerned. Nothing in the plan should be read as an endorsement by any named or unnamed third party unless that endorsement is separately evidenced in writing.

Related-party interests

The business plan discloses interests held by the founder and by advisors that may present actual or potential conflicts, including a separately owned prefabrication business treated as an arm's-length counterparty, advisor equity grants, board appointments, and a financial advisory mandate compensated in equity on a success basis. Executed agreements and the resulting pro forma dilution are made available to prospective investors on request. Recipients should evaluate these interests as part of their own diligence.

No advice and no reliance

Nothing in the business plan constitutes legal, tax, accounting, regulatory, or investment advice, and no recipient should rely on it as such. Recipients should consult their own advisors. No representation or warranty, express or implied, is given as to the accuracy, completeness, or reasonableness of the information or assumptions in the plan, and to the maximum extent permitted by law no liability is accepted for any loss arising from its use.

Jurisdiction

These materials are not directed at any person in any jurisdiction where their publication, distribution, or availability would be contrary to local law or regulation. Recipients are responsible for informing themselves of, and observing, any applicable restrictions.
